American Beacon Partners (“American Beacon”) is a compensated promoter for ARK Investment Management LLC (“ARK Invest”), Ninety One North America, Inc. (“Ninety One”) and Strategic Income Management, LLC (“SiM”). American Beacon is not a current client of these firms nor an investor in their funds. American Beacon has entered agreements whereby each such firm has agreed to pay American Beacon a fee in exchange for American Beacon referring potential advisory clients/investors (including you) to the respective firm. American Beacon may refer clients/investors to a third-party platform where a firm’s strategies are available, but American Beacon is not promoting those platforms and receives no compensation from them. For its services to ARK Invest, Ninety One and SiM, American Beacon will receive 25% of the advisory fees received by each such firm for referred clients/investors for so long as they remain under that firm’s management. The advisory fees charged to you will not be affected by the fees paid to American Beacon, because American Beacon’s compensation will be paid solely from ARK Invest’s, Ninety One’s or SiM’s investment management fee and will not result in any additional charge to you. American Beacon and its representatives may also receive non-cash compensation from ARK Invest, Ninety One and SiM, such as attendance at events, entertainment and gifts. Receipt of cash and non-cash compensation influences American Beacon’s referral of prospective clients/investors to ARK Invest, Ninety One and SiM.
